Terms of Service

1. Acceptance

By accessing or using any Quorient service you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company, you represent that you have the authority to do so. If you do not agree to these Terms, do not use our services.

2. Services

Quorient provides AI agent infrastructure and workflow automation tooling for businesses (“Services”). We may update, add, or remove features at any time. We will provide reasonable notice of material changes.

3. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at hello@quorient.io if you suspect unauthorised access.

4. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable regulations.
  • Attempt to gain unauthorised access to our systems or another user’s account.
  • Reverse-engineer, decompile, or otherwise attempt to extract source code from our platform.
  • Resell or sublicense the Services without our written consent.
  • Introduce malware or otherwise interfere with the integrity or performance of the Services.

5. Your data

You retain ownership of all data you submit to our platform (“Customer Data”). You grant Quorient a limited, non-exclusive licence to process Customer Data solely to provide the Services. We will not access Customer Data except as needed to operate and support the Services, or as required by law.

6. Intellectual property

Quorient and its licensors own all intellectual property rights in the Services, including software, documentation, and branding. These Terms do not grant you any rights to use our trademarks, logos, or trade names.

7. Fees and payment

Fees are set out in your order form or on our pricing page. Fees are billed in advance and are non-refundable except as expressly stated herein or required by law. We may update pricing with 30 days’ notice.

8. Confidentiality

Each party agrees to keep the other’s non-public information confidential and not to disclose it to third parties without prior written consent, except as required by law.

9. Disclaimer of warranties

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, Quorient disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Quorient’s total liability for any claim arising out of or relating to these Terms or the Services will not exceed the fees you paid in the three months preceding the event giving rise to the claim. In no event will Quorient be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Quorient and its directors, employees, and agents from and against any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, or your breach of these Terms.

12. Term and termination

These Terms remain in effect until your subscription expires or is terminated. Either party may terminate for material breach that is not cured within 14 days of written notice. Upon termination, your right to access the Services ceases and we will delete your Customer Data within 90 days unless legally required to retain it.

13. Governing law

These Terms are governed by the laws of Singapore. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Singapore.

14. Changes

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
